The important part of a software subscription
The price is per seat per month and that is the least interesting number. Renewal, data export, price protection and what happens on downgrade decide what this costs you.
The four parts that decide it
Renewal and notice
Annual plans usually auto-renew, often with a notice window of 30 to 60 days before the anniversary. Miss it and you have bought another year.
Data export and what happens at the end
Whether you can get your data out, in what format, and how long they keep it after you leave. A tool with no export is not a tool you use, it is a place you live.
Price protection
Whether the rate is locked for the term or can change at renewal, and whether adding seats mid-term is at your original price. Seat creep at list price is how bills double.
Downgrade and seat reduction
Most contracts let you add seats instantly and remove them only at renewal. That asymmetry is the single most expensive default in software buying.
The traps
- Auto-renewal with a notice window that opened and closed while nobody owned the account.
- Usage-based overages on a plan sold as a flat fee.
- A feature you depend on moved to a higher tier at renewal, which is a price rise with extra steps.
Red flags
- No stated data export, or export only via a paid professional services engagement.
- Unlimited price increases at renewal with no cap and no notice obligation.
- Termination for convenience by the vendor with no pro-rata refund.
Three easy wins
- Ask for a renewal cap in writing: a maximum percentage increase per year.
- Ask for the right to reduce seats at renewal, not just to add them mid-term.
- Put the renewal notice date in a shared calendar the day you sign, with an owner's name on it.
Questions
Why is annual billing cheaper?
Because it transfers the risk to you: you have paid whether or not you use it, and the notice window makes leaving an active decision rather than a passive one.
What should I always check before subscribing?
Data export and the renewal notice date. Those two determine whether you are a customer or a hostage.
Now do it to the actual document
Paste the contract into the tool and see which sentences it thinks matter. Then check them against the four parts above.
